BOSS SUITE AGREEMENT

TABLE OF CONTENTS

01. AGREEMENT TO TERMS

These Terms of Service constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("you", "user") and Boss Suite ("Company," "we," "us," or "our"), concerning your access to and use of the Boss Suite application, platform, and associated digital products.

You agree that by accessing the Platform, you have read, understood, and agreed to be bound by all of these Terms of Service. IF YOU DO NOT AGREE WITH ALL OF THESE TERMS, THEN YOU ARE EXPRESSLY PROHIBITED FROM USING THE PLATFORM AND YOU MUST DISCONTINUE USE IMMEDIATELY.

1.1 Supplemental Documentation: Supplemental terms and conditions or documents that may be posted on the Platform from time to time are hereby expressly incorporated herein by reference.
1.2 Jurisdictional Compliance: The information provided on the Platform is not intended for distribution to or use by any person or entity in any jurisdiction where such distribution or use would be contrary to law or regulation.

02. INTELLECTUAL PROPERTY RIGHTS

Unless otherwise indicated, the Platform is our proprietary property and all source code, databases, functionality, software, website designs, audio, video, text, photographs, and graphics on the Platform (collectively, the "Content") and the trademarks, service marks, and logos contained therein (the "Marks") are owned or controlled by us or licensed to us, and are protected by copyright and trademark laws.

2.1 Limited License: Provided that you are eligible to use the Platform, you are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Platform solely for your internal business operations.
2.2 Systematic Extraction: You may not systematically retrieve data or other content from the Platform to create or compile, directly or indirectly, a collection, compilation, database, or directory without written permission from us.

03. USER REPRESENTATIONS & REGISTRATION

By using the Platform, you represent and warrant that: (1) all registration information you submit will be true, accurate, current, and complete; (2) you will maintain the accuracy of such information and promptly update such registration information as necessary; (3) you have the legal capacity and you agree to comply with these Terms of Service.

3.1 Account Credentials: You agree to keep your password confidential and will be responsible for all use of your account and password. We reserve the right to remove, reclaim, or change a username you select if we determine, in our sole discretion, that such username is inappropriate.

04. ALL SALES ARE FINAL & NO REFUND POLICY

Boss Suite delivers instant access to proprietary enterprise tools, automation frameworks, and confidential digital intellectual property upon purchase.

CRITICAL CLAUSE: STRICT NO-REFUND POLICY

ALL SALES, SUBSCRIPTIONS, SOFTWARE LICENSES, AND DIGITAL ASSET TRANSACTIONS ARE FINAL AND STRICTLY NON-REFUNDABLE. DUE TO THE IMMEDIATE ACCESS AND PROPRIETARY NATURE OF OUR HIGH-LEVERAGE SOFTWARE, TEMPLATES, AND AUTOMATION CODE, NO REFUNDS, CREDITS, OR PRORATIONS WILL BE ISSUED UNDER ANY CIRCUMSTANCES ONCE ACCESS IS GRANTED.

BY INITIATING A TRANSACTION, YOU EXPRESSLY WAIVE ANY STATUTORY RIGHT TO A COOLING-OFF PERIOD OR CHARGEBACK CLAIM. ANY FRAUDULENT CHARGEBACK DISPUTE WILL BE SUBJECTED TO IMMEDIATE ACCOUNT TERMINATION AND RECOVERY PROCEEDINGS.

4.1 Chargeback Defense: In the event of an unjustified chargeback or payment reversal initiated through your financial institution, Boss Suite reserves the right to report the dispute to credit bureaus and engage legal collection agencies.

05. SUBSCRIPTION & BILLING TERMS

Subscriptions automatically renew on a recurring monthly or annual schedule unless cancelled prior to the renewal date. You authorize Boss Suite to charge your designated payment method on a recurring basis without requiring your prior approval for each recurring charge.

5.1 Cancellation Procedure: You may cancel your subscription at any time via your user dashboard. Cancellation will take effect at the end of the current paid billing cycle. No partial refunds are provided for mid-cycle cancellations.

06. PROHIBITED ACTIVITIES

You may not access or use the Platform for any purpose other than that for which we make the Platform available. As a user of the Platform, you agree not to:

• Decipher, decompile, disassemble, or reverse engineer any of the software comprising or in any way making up a part of the Platform.
• Circumvent, disable, or otherwise interfere with security-related features of the Platform or features that prevent or restrict use or copying of any Content.
• Use the Platform in a manner inconsistent with any applicable laws, export regulations, or enterprise security standards.

07. USER-GENERATED CONTRIBUTIONS & FEEDBACK

You acknowledge and agree that any questions, comments, suggestions, ideas, feedback, or other information regarding the Platform ("Submissions") provided by you to us are non-confidential and shall become our sole property.

08. CONTRIBUTION LICENSE

By posting your Contributions to any part of the Platform, you automatically grant, and you represent and warrant that you have the right to grant, to us an unrestricted, unlimited, irrevocable, perpetual, non-exclusive, transferable, royalty-free, fully-paid, worldwide license to host, use, copy, reproduce, and distribute such Contributions.

09. THIRD-PARTY CONTENT & WEBSITES

The Platform may contain links to other websites ("Third-Party Websites") as well as articles, photographs, text, graphics, pictures, designs, music, sound, video, information, applications, software, and other content or items belonging to or originating from third parties.

10. EARNINGS DISCLAIMER & FINANCIAL WARRANTY

Boss Suite provides business acceleration software, workflow automations, and operational infrastructure.

CRITICAL CLAUSE: EARNINGS & INCOME DISCLAIMER

BOSS SUITE MAKES NO PROMISES, WARRANTIES, OR GUARANTEES CONCERNING YOUR FUTURE EARNINGS, BUSINESS EXPANSION, OR REVENUE POTENTIAL. ANY EXAMPLES, CASE STUDIES, OR TESTIMONIALS PRESENTED ARE EXCEPTIONAL RESULTS AND DO NOT CONSTITUTE A PROMISE OR GUARANTEE OF IDENTICAL PERFORMANCE.

YOUR BUSINESS SUCCESS DEPENDS ENTIRELY UPON YOUR OWN CAPACITY, TECHNICAL EXECUTION, MARKET CONDITIONS, AND PROFESSIONAL EFFORTS. YOU ASSUME FULL RESPONSIBILITY FOR ALL FINANCIAL AND OPERATIONAL OUTCOMES RESULTING FROM THE USE OF OUR SOFTWARE.

10.1 No Financial or Legal Advice: Content distributed via Boss Suite is for operational utility only and does not constitute formal tax, legal, or investment advice.

11. SYSTEM AVAILABILITY & SERVICE MODIFICATIONS

We reserve the right to change, modify, or remove the contents of the Platform at any time or for any reason at our sole discretion without notice. We cannot guarantee the Platform will be available at all times. We may experience hardware, software, or other problems or need to perform maintenance resulting in interruptions, delays, or errors.

12. LIMITATION OF LIABILITY

IN NO EVENT WILL WE OR OUR DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY DIRECT, INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFIT, LOST REVENUE, LOSS OF DATA, OR OTHER DAMAGES ARISING FROM YOUR USE OF THE PLATFORM, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

12.1 Aggregate Cap: Notwithstanding anything to the contrary contained herein, our liability to you for any cause whatsoever and regardless of the form of the action, will at all times be limited to the amount paid, if any, by you to us during the six (6) month period prior to any cause of action arising.

13. INDEMNIFICATION

You agree to defend, indemnify, and hold us harmless, including our subsidiaries, affiliates, and all of our respective officers, agents, partners, and employees, from and against any loss, damage, liability, claim, or demand, including reasonable attorneys' fees and expenses, made by any third party due to or arising out of: (1) use of the Platform; (2) breach of these Terms of Service; (3) any breach of your representations and warranties set forth in these Terms of Service.

14. DISPUTE RESOLUTION & ARBITRATION

Any dispute arising out of or related to these Terms of Service shall be resolved exclusively through final and binding confidential arbitration administered by the American Arbitration Association (AAA). You agree to waive any right to participate in class actions, class arbitrations, or representative proceedings against Boss Suite.
